Terms of Service

Placeholder draft

This is a placeholder draft pending legal review. Do not treat as binding until reviewed and approved by counsel. The text below is standard, generic boilerplate, not Medrecords AI's reviewed, final terms of service.

These terms describe, in general form, the conditions for using Medrecords AI. They are a template pending review by qualified counsel and do not yet reflect a finalized, legally reviewed agreement.

Acceptance of terms

By creating an account or otherwise using Medrecords AI, you agree to these terms on behalf of yourself and, where applicable, the organization you represent. If you do not agree, you should not use the platform.

Description of service

Medrecords AI provides software that ingests medical records and related documents and returns organized chronologies, summaries, and reports to help legal, insurance, and medical-legal professionals review case files faster.

Acceptable use

You agree not to misuse the platform: no uploading content you don't have rights or authorization to process, no attempting to disrupt or reverse-engineer the service, and no use that violates applicable law or the rights of others.

Data ownership

You and your organization retain ownership of the records, documents, and other content you upload. We do not claim ownership over your data and process it only to provide the service to you.

Disclaimers

Medrecords AI's outputs are generated with the assistance of AI and are intended to support, not replace, professional judgment. AI does the reading; you make the calls, always. Every output should be reviewed by a qualified human before being relied on for any legal, medical, or business decision.

Limitation of liability

To the maximum extent permitted by law, Medrecords AI will not be liable for indirect, incidental, or consequential damages arising from use of the platform. Specific liability caps and exclusions will be set out in the final, counsel-reviewed agreement.

Termination

Either party may terminate access to the platform as set out in the applicable order form or agreement, or for material breach of these terms. On termination, access to the platform ends, subject to any data retrieval or deletion terms agreed with your organization.

Governing law

These terms are governed by the laws of [TBD], without regard to conflict-of-law principles. The final governing law and venue will be confirmed during legal review.
